Assistant Manager – Company Secretary

Experience: 4 - 8 Years exposure in Secretarial matters in a reputed organization.
Roles & Responsibilities:
Handling Secretarial and Governance related compliances for 10 subsidiaries / group companies.
- Conducting meetings, Agendas, Minutes, Statutory filings, fund raising, reportings, Other compliance with CA13, etc.
- Support on fund raising via NCDs / CPs,
- Due diligence reports, internal audits, secretarial audits, etc
- Managing secretarial compliances of multiple group entities.
- Compliance with Internal policies and SOP
- Conducting intra-department audits and exposure to compliances of listed entity.
- Reporting compliances on compliance tool maintained by the group.
- RBI and FEMA compliances as and when required.
- Support in data collation and provision to internal, statutory and secretarial auditors.
- Managing PE investors and compliances with JV agreement.
- Managing compliances of entity with government nominated Board member.
- Well abreast with Private placement, rights issue, preferential allotment, share transfer and transmission and demat of shares.
Qualifications & Experience:
- Education: B.Com, Company Secretary
- Excellent command over all aspects of Company Secretary and compliance matters.
- Experience in Fund Raising via various instruments.
- Experience of handling any compliance automation tool will be an added advantage.
- Excellent English and presentation skills.
